Software Developers Need to Check Their Insurance Policies
by John-Mark Turner, Esq.

John-Mark Turner, Esq.

Most businesses rely on their CGL policies for coverage when they get sued for causing individuals or other businesses property damage. The majority of courts have determined, however, that damage to computer software and loss of data are not covered by the standard CGL policy. Thus, software developers and others whose products regularly interface with software or electronic data need to consult with their insurance agents and counsel to determine how best to insure against potential future suits. [Contact Author]

Changes in Estate and Gift Tax Laws Affect Many
by Bradford E. Cook, Esq.

Bradford E. Cook, Esq.

Anyone who counts on consistency in federal tax law is destined to be disappointed. The estate and gift tax law has changed continuously, and with it, the plans carefully made by those planning their estates. In 2006, this is especially noticeable. The federal estate tax credit has increased on January 1 to $2 million. That means that the tax on the first $2 million of each person’s estate is credited, or, more particularly, gone. For a couple who has planned their estate properly, $4 million can be protected from tax with a trust or will that takes both of their tax credits into account. [Contact Author]

The Use of Liquidated Damages Clauses in Construction Contracts
by Kenneth A. Viscarello, Esq.

Kenneth A. Viscarello, Esq.

Because of the potential damage a liquidated damages provision may cause to the owner/contractor relationship, owners should use them judiciously and only as necessary. A properly written and enforceable liquidated damages provision can be a useful tool to prevent a contractor's construction delays. However, before insisting on such a provision, an owner should be aware that often liquidated damages clauses lead to unnecessary acrimony on the construction site. [Contact Author]

Outsourcing Human Resource Business Processes
by Steven E. Boyce, Esq.

Steven E. Boyce, Esq.

Managing human resources and related services can be expensive and complex – employees are demanding greater and easier access to employment information and services. These services may require a company to make significant investments in personnel and information technology infrastructure, thereby diverting scarce economic resources from the company’s core business competencies. In order to meet the company’s need to reduce costs, free up capital for investment and to meet the employees’ need for improved service, a company may decide to outsource all or a portion of their human resources functions.
