Netopia (NASD: NTPA) Moves into Massachusetts By Acquiring Local Broadband Gateway Equipment Maker, Cayman Systems, Inc.

BOSTON, Mass., October 1, 2001 -- RCW Mirus (“Mirus”) announced today that its client, Cayman Systems, Inc. (“Cayman”) of Massachusetts, has entered into a definitive agreement to be acquired by Netopia, a market leader in broadband gateways and web platform software. Netopia will pay an aggregate of $11 million to acquire all of Cayman’s outstanding equity and convertible debt and will maintain Cayman’s facility in Billerica, MA. The deal is expected to close in October 2001. RCW Mirus acted as financial advisor to Cayman.

Cayman is the leading global provider of broadband gateway solutions, enabling the delivery of voice, video and high-speed data to homes and small offices via technologies such as DSL, Cable and Broadband wireless. Cayman’s impressive customer list includes companies such as SBC, Verizon, Bellsouth, and Comcast. This year, Cayman won the SUPERCOMM 2001 SUPERQuest award as runner-up in the Most Promising New Public Network Technology for its Calypso Broadband Gateway and was also recognized as one of the Hot 100 Private Companies by Upside Magazine.

According to a Netopia press release on September 19, 2001, Alan Lefkof, Netopia’s President and CEO stated, "We are pleased to combine the talents of two great organizations. With its reliable and well-respected products, Cayman has developed an impressive portfolio of strong customer relationships with leading ILECs and cable companies throughout the United States."
